Terms of Service

Please read these Terms of Service carefully before creating an account or using Rostly. By accessing or using the service you agree to be bound by these terms. If you do not agree, do not use the service.

1Definitions

"Rostly", "we", "us", or "our" refers to Rostly and its affiliates that operate the scheduling platform.

"Service" means the Rostly web application, APIs, and any related software or services made available to you.

"Account" means the registered account you create to access the Service.

"Organization" means the workspace associated with your account, which may include multiple team members.

"Content" means data, text, files, and other information you or your team members submit through the Service.

2Eligibility and Account Registration

You must be at least 18 years old and capable of forming a binding contract to use the Service. If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these terms.

When creating an account you agree to provide accurate, complete, and current information. You are responsible for maintaining the confidentiality of your credentials and for all activity that occurs under your account.

You must notify us immediately at contact@rostly.org if you suspect unauthorized access to your account. We are not liable for losses resulting from unauthorized use of your credentials.

3Description of Service

Rostly provides workforce scheduling, shift management, and team coordination tools for businesses and their employees. The features available to you depend on your subscription plan.

We reserve the right to modify, suspend, or discontinue any part of the Service at any time. We will provide reasonable notice of material changes where practicable. Continued use of the Service after such changes constitutes acceptance.

We may impose limits on usage, storage, or API calls based on your plan. Exceeding these limits may result in throttling or additional charges as described in your plan.

4Subscription Plans and Billing

Rostly offers free and paid subscription plans. Paid plans are billed in advance on a monthly or annual cycle as selected at checkout. All fees are in AUD unless stated otherwise.

Subscriptions automatically renew at the end of each billing period unless cancelled before the renewal date. You can cancel at any time from your account settings; cancellation takes effect at the end of the current billing period.

We do not offer refunds for partial periods except where required by applicable law. If we increase the price of your plan, we will provide at least 30 days' notice before the change takes effect.

We may suspend or terminate access to paid features if a payment fails and is not remedied within 7 days of notice.

5Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these terms. You must not use the Service to:

Violate any applicable local, national, or international law or regulation.

Transmit or store content that is unlawful, defamatory, fraudulent, or infringes on the rights of others.

Attempt to gain unauthorized access to the Service, other accounts, or our infrastructure.

Introduce malware, viruses, or other malicious code.

Scrape, crawl, or harvest data from the Service without our prior written consent.

Resell, sublicense, or otherwise commercialize access to the Service without authorization.

We reserve the right to investigate suspected violations and to suspend or terminate accounts that breach these obligations.

6Your Content

You retain ownership of all Content you submit to the Service. By submitting Content you grant Rostly a limited, worldwide, royalty-free license to store, process, and display that Content solely to provide and improve the Service.

You are solely responsible for the accuracy and legality of your Content. We do not review Content for accuracy or compliance, and we are not responsible for errors or consequences arising from inaccurate scheduling data.

You represent that you have obtained all necessary consents to submit personal data about your team members, including any consents required by applicable data protection laws.

7Intellectual Property

The Service and all associated software, design, trademarks, and materials are owned by or licensed to Rostly. "Rostly" and our logos are trademarks of Rostly. Nothing in these terms grants you any right to use our trademarks or intellectual property without our written consent.

You may not copy, modify, reverse-engineer, decompile, or create derivative works of the Service or any portion thereof.

8Privacy

Your use of the Service is also governed by our Privacy Policy, which is incorporated into these terms by reference. By using the Service you consent to the collection and use of your information as described in the Privacy Policy.

9Third-Party Integrations

The Service may integrate with or link to third-party services. These integrations are provided for convenience; we do not endorse or control third-party services and are not responsible for their content or practices.

Your use of third-party services is subject to the respective third-party terms and privacy policies.

10Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

We do not warrant that the Service will be uninterrupted, error-free, or that defects will be corrected. We do not warrant the accuracy or completeness of any information provided through the Service.

11Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ROSTLY AND ITS AFFILIATES, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.

OUR TOTAL LIABILITY TO YOU FOR ANY CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE FEES YOU PAID TO ROSTLY IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) AUD 100.

Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability. In such jurisdictions our liability is limited to the greatest extent permitted by law.

12Indemnification

You agree to indemnify, defend, and hold harmless Rostly and its affiliates, officers, directors, and employees from and against any claims, liabilities, damages, and expenses (including reasonable legal fees) arising from: (a) your use of the Service; (b) your Content; (c) your violation of these terms; or (d) your violation of any third-party rights.

13Termination

You may stop using the Service and close your account at any time from your account settings. Closure takes effect immediately; your data will be retained for 30 days and then deleted in accordance with our data retention policy.

We may suspend or terminate your access immediately if you breach these terms, create risk or legal exposure for Rostly or other users, or if required by law.

Upon termination, all licenses granted to you under these terms cease immediately. Sections that by their nature should survive termination (including limitations of liability, indemnification, and governing law) will survive.

14Governing Law and Disputes

These terms are governed by the laws of the jurisdiction in which Rostly is incorporated, without regard to conflict of law principles.

Before initiating any formal dispute resolution, you agree to first contact us at contact@rostly.org and attempt to resolve the matter informally for at least 30 days.

Any disputes not resolved informally shall be submitted to binding arbitration, except that either party may seek injunctive relief in a court of competent jurisdiction for intellectual property claims.

15Changes to These Terms

We may update these terms from time to time. When we make material changes we will notify you by email or by displaying a prominent notice in the Service at least 14 days before the changes take effect.

Your continued use of the Service after the effective date of revised terms constitutes acceptance of those terms. If you do not agree to the revised terms, you must stop using the Service.
